Moozix Terms of Service

Please read these Terms of Service ("Terms") carefully before using Moozix.com and related services (collectively, the "Service") operated by Moozix LLC ("Moozix," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms are a legal agreement between you and Moozix LLC. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility

You must be at least 18 years old and legally able to enter a binding contract to use the Service.

3. Service Scope

Moozix provides AI-assisted music and media tools, including (as available): text-to-music generation, audio-to-audio transformations, stem splitting/mixing/mastering workflows, DAW functionality, music-video generation/editing tools, reference-style processing, and related analysis/chat features. Features may change, be added, or be removed at any time.

4. Accounts and Security

You are responsible for account activity and keeping credentials secure. Notify us promptly at support@moozix.com if you suspect unauthorized access. We may suspend or terminate accounts for security reasons, non-payment, abuse, legal risk, or Terms violations.

5. Your Content, Outputs, and License

Your Content: You may upload audio, images, text, and other materials ("User Content").

Generated Outputs: The Service may create outputs such as songs, stems, mixes, masters, images, videos, metadata, and text ("Generated Content").

Ownership: As between you and Moozix, you retain rights you hold in your User Content. Subject to applicable law and third-party rights, Moozix does not claim ownership of your Generated Content.

License to Moozix: You grant Moozix and its subprocessors a worldwide, non-exclusive, royalty-free license to host, copy, transform, transmit, and otherwise process User Content and Generated Content solely to operate, secure, maintain, troubleshoot, and improve the Service (including quality, reliability, abuse prevention, and feature development), and as described in the Privacy Policy.

No Public Showcase Without Permission: We will not publicly showcase your specific content for marketing without your permission, except where you deliberately publish/share it via public features.

Your Responsibility: You represent that you have all rights and permissions needed to upload and process your content, including rights of copyright, trademark, publicity, and privacy.

6. Acceptable Use and Prohibited Conduct

You may not use the Service to create, upload, process, or distribute content or activity that:

We may investigate and remove content, suspend accounts, and cooperate with legal authorities where appropriate.

7. Payments, Credits, Plans, and Storage

Paid Features: Some features require subscription and/or credits. Pricing and allotments are shown in-product or on pricing pages and may change prospectively.

Credits: Purchased credits are generally non-refundable except where required by law. Credit validity windows are described in-product; currently, purchased credit packs are intended to be used within 12 months.

Subscriptions: Subscription fees are billed in advance and auto-renew unless cancelled. You may manage billing through available billing settings/portal.

Failed Payments / Downgrade: If billing fails or a subscription ends, we may downgrade your plan, adjust feature access, and apply free-tier limits.

Storage: Accounts may be subject to storage limits. If you exceed limits, we may restrict uploads/processing/access until usage is reduced or your plan is upgraded. Deletion may occur according to operational retention policies and these Terms.

AI Output Variability: AI outputs can be imperfect, unexpected, or unsuitable. Dissatisfaction with creative output alone does not automatically entitle a refund unless required by law or explicitly offered.

8. Third-Party Services

We use third-party providers for infrastructure, analytics, communications, payment processing, and AI/media processing. Your content and data may be processed by these providers as needed to deliver the Service.

9. Privacy

Your use is also governed by our Privacy Policy, which explains data handling practices and your rights/choices.

10. DMCA / IP Complaints

If you believe content on the Service infringes your rights, contact support@moozix.com with sufficient detail for us to investigate. We may remove content and/or suspend repeat infringers where appropriate.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOOZIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, AND ACCURACY. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT OUTPUTS WILL BE ACCURATE OR LEGALLY CLEAR FOR YOUR SPECIFIC USE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOOZIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO MOOZIX IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

You agree to indemnify and hold Moozix and its affiliates, officers, employees, contractors, and providers harmless from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, or your breach of these Terms or applicable law.

14. Termination

You may stop using the Service at any time. We may suspend or terminate access at any time for legal, security, abuse, or operational reasons. Provisions that by nature should survive termination (including ownership, payment obligations, disclaimers, limitations, indemnity, and dispute terms) survive.

15. Changes to Terms

We may update these Terms from time to time. Updated Terms are effective when posted unless otherwise stated. Continued use after updates means you accept the revised Terms.

16. Governing Law and Disputes

These Terms are governed by Georgia law, excluding conflict-of-law principles. Disputes will be resolved in state or federal courts located in Atlanta, Georgia, unless applicable law requires otherwise.

Class Action Waiver: To the extent permitted by law, disputes must be brought on an individual basis, not as a class, collective, or representative action.

17. Miscellaneous

Severability: If any provision is unenforceable, the remaining provisions remain in effect.

No Waiver: Failure to enforce any provision is not a waiver.

Entire Agreement: These Terms and the Privacy Policy form the complete agreement regarding the Service.

Assignment: You may not assign these Terms without consent. Moozix may assign these Terms in connection with merger, acquisition, reorganization, or asset transfer.
