Please read these Terms of Service ("Terms") carefully before using the Moozix.com website and any related services (collectively, the "Service") operated by Moozix LLC ("Moozix", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms or the Privacy Policy, you must not use the Service.
These Terms constitute a legal agreement between you (the "User") and Moozix LLC. By using the Service, you acknowledge that you have read, understood, and agree to comply with these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
The Service is intended for users who are at least 18 years old. By using the Service, you represent and warrant that you are 18 or older and legally capable of entering into a binding contract. Moozix does not knowingly allow access to the Service to anyone under 18. If you are under 18, you must not use or access Moozix.
To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your login credentials secure. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must promptly notify Moozix of any unauthorized use of your account or security breach. We reserve the right to suspend or terminate your account if any information provided during registration or thereafter is or becomes inaccurate, false, or misleading, or if you otherwise violate these Terms.
Ownership of Outputs: Moozix allows you to upload images, audio, and other content ("User Content") and uses artificial intelligence to generate music videos or other outputs ("Generated Content"). As between you and Moozix, you retain any ownership and intellectual property rights you may have in your User Content and in the Generated Content you create using the Service. Moozix will not claim ownership of your Generated Content.
License to Moozix: You grant Moozix and its service providers (including third-party AI processing services) a worldwide, non-exclusive, royalty-free license to use, host, reproduce, modify (for technical purposes, e.g. transcoding or optimizing), and distribute your User Content and Generated Content, but solely as necessary to operate the Service and provide the functionality (for example, to process your requests, generate your videos, store them for your access, and otherwise as described in our Privacy Policy). This license also allows us to use your content to improve our services and develop new features, but we will not publicly display or share your User Content or Generated Content without your permission.
User Content Rights and Responsibilities: You represent and warrant that you have all necessary rights and permissions to upload or provide any User Content to the Service and to use it with the Service. You agree that you will not upload, submit, or use any content unless you have the appropriate rights or consents to do so. Any content you upload remains your responsibility, and Moozix is not responsible for the accuracy, legality, or appropriateness of any User Content or Generated Content that you create using our Service.

We reserve the right (but have no obligation) to review any User Content or Generated Content and to block or remove content that violates these Terms or applicable law, or is otherwise objectionable in our sole discretion. Violation of this Prohibited Conduct section may result in suspension or termination of your access to the Service, and if appropriate, referral to law enforcement authorities.
Credits Purchase: Moozix may operate on a credit-based system for generating videos or using certain features. You may purchase credits on a pay-as-you-go basis. All credit purchases are final and non-refundable, except as required by applicable law. Credits will expire 1 year from the date of purchase if not used. You are responsible for using your credits before they expire; expired credits will be forfeited and will not be reinstated or refunded.
Storage Subscriptions: Moozix may offer optional subscription plans for additional storage or premium features. If you subscribe to a monthly storage plan or any other subscription service, you authorize Moozix (or its payment processor) to charge your provided payment method the recurring subscription fee applicable to the plan you selected, on a monthly basis (or other recurring interval disclosed). Subscription fees are billed in advance and are non-refundable. You may cancel a subscription at any time, but no refunds will be provided for any unused portion of the subscription term. Upon cancellation or expiration of a subscription, or if a subscription payment cannot be processed, Moozix may restrict your account to the free storage limit and may delete or prevent access to any content stored beyond the free allowance, unless you promptly reduce your storage usage or renew your subscription.
No Refunds for Dissatisfaction: Moozix strives to provide a high-quality AI music video generation service, but results may vary. You understand that using AI to generate content can sometimes produce unexpected or unsatisfactory results. Dissatisfaction with the quality, style, or content of the Generated Content is not a valid reason for a refund of credits or fees. While we value user feedback and continuously work to improve our models, all purchases (including credits and subscriptions) remain non-refundable except as required by law or expressly stated otherwise in these Terms.
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of information as outlined in the Privacy Policy. You acknowledge that internet transmissions are never completely private or secure, and that any content you upload or create using the Service may be accessible by others if a security breach occurs. Moozix takes reasonable measures to protect your data, but we cannot guarantee absolute security. To the fullest extent permitted by law, Moozix will not be liable for any unauthorized access to or loss of your content or personal data.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, Moozix disclaims all warranties of any kind, whether express, implied, or statutory, including, but not limited to, any warranties of accuracy, reliability, non-infringement, merchantability, or fitness for a particular purpose. Moozix does not warrant that the Service will meet your requirements or expectations, achieve any intended results, be compatible or work with any other software, services, systems, or be secure, uninterrupted, or error-free. You understand that the AI models may produce content that is inaccurate, unexpected, or that may contain errors, and you use the Service at your own risk. Moozix is not responsible for any content generated by the AI or any actions you take based on the content provided by the Service.
To the fullest extent permitted by applicable law, in no event will Moozix, its parent company, affiliates, officers, employees, agents, partners, suppliers, or licensors be liable for any indirect, consequential, exemplary, incidental, or punitive damages, including but not limited to loss of profits, loss of data, or other intangible losses, arising out of or in connection with your use of or inability to use the Service, even if Moozix has been advised of the possibility of such damages. In no event will Moozix’s total cumulative liability for any claims arising out of or related to these Terms or the Service exceed the amount you paid to Moozix (if any) in the twelve (12) months immediately preceding the event giving rise to such liability.
You acknowledge that the videos and content generated through Moozix are created based on your inputs and requests, and you are solely responsible for the content of any Generated Content. Moozix shall not be held responsible or liable for any claims, damages, or liabilities arising from the content of the videos you create or any use you make of them. This includes, without limitation, liability for any defamation, infringement, illegal activities, or other harm that may result from your Generated Content.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain types of damages. Accordingly, some of the above disclaimers and limitations may not apply to you. In such jurisdictions, Moozix’s liability will be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Moozix LLC and its affiliates, officers, directors, employees, agents, partners, and service providers from and against any and all claims, liabilities, damages, losses, judgments, awards, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Service or Generated Content; (b) your violation of these Terms or any applicable law or regulation; (c) your infringement or violation of any rights of any other person or entity (including intellectual property rights or privacy rights); or (d) any content that you create, upload, or otherwise make available through the Service.
We may suspend or terminate your access to the Service, or terminate these Terms, at any time for any reason, including for violation of these Terms or if you are engaged in any activity that may cause harm or liability to Moozix or any other person. Upon termination, your right to access or use the Service will immediately cease, and any licenses granted to you by these Terms will terminate. If your account is terminated due to a breach of these Terms, you will not be entitled to any refunds of unused credits or prepaid fees. You may cancel your Moozix account at any time; however, any provisions of these Terms which by their nature should survive termination (such as ownership, indemnification, disclaimers, and limitations of liability) shall continue to remain in effect.
Moozix may modify or update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the Service or through other appropriate means. Any changes will be effective when posted unless indicated otherwise. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. We encourage you to review the Terms periodically for any updates. If you do not agree to any modified Terms, you must stop using the Service.
These Terms and any dispute or claim arising out of or related to these Terms or the use of the Service shall be governed by and construed in accordance with the laws of the State of Georgia, USA, without regard to its conflict of law principles. You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Atlanta, Georgia, and you consent to the jurisdiction of such courts and waive any objection to such venue. Notwithstanding the foregoing, Moozix may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property or other proprietary rights.
Arbitration and Class Action Waiver: At our sole discretion, Moozix may require you to submit any dispute arising from these Terms or the use of the Service (including disputes regarding the validity or enforceability of this provision) to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Georgia law. Any such arbitration shall take place on an individual basis; class arbitrations and class actions are not permitted. By agreeing to these Terms, you waive your right to participate in a class action against Moozix.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms will continue in full force and effect.
Waiver: No waiver by Moozix of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure of Moozix to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Entire Agreement: These Terms (along with the Privacy Policy and any additional guidelines or terms provided by Moozix for specific services or features) constitute the entire agreement between you and Moozix regarding your use of the Service, and supersede any prior or contemporaneous agreements, understandings, or communications, whether written or oral, relating to the subject matter herein.
Assignment: You may not assign or transfer any rights or obligations under these Terms without the prior written consent of Moozix. Moozix may assign its rights and obligations under these Terms freely to any affiliate or in connection with a merger, acquisition, or sale of assets, or by operation of law.
